Piecemeal, a device that Madman helped create, softens Hulk up for Madman, but it is Madman's blow from behind that knocks the Hulk out. And since I think Madman would count this as a victory I will too.

Hulk wakes up as he sinks to the Loch's floor. Hulk goes back in and beats up Madman and Piecemeal. Hulk destroys Piecemeal, but Madman runs away.

Incredible Hulk vol. 2 #409- Hulk vs. Madman IV
Hulk catches up with Madman at Big Ben. He trashes Madman, but as Madman is on his hands and knees in defeat the bridge he is on collapses.
